Agreement

BACKGROUND: The Company (Conscious Magazine) and the Shop Partner are entering into an agreement (the "agreement") with respect to accessing confidential information in order to properly manage and progress (CM) business. In connection with the Agreement (the "Permitted Purpose"), the Shop Partner has requested certain confidential information (the "Confidential Information") regarding: current and future ideas, magazine stories, contact information, etc.

IN CONSIDERATION OF and as a condition of the Company providing the Confidential Information to the Shop Partner in addition to other valuable consideration, the receipt and sufficiency of which consideration is hereby acknowledged, the parties to this Agreement agree as follows:

A. Terms of Service and Conditions.
The contract between Company and Shop Partner shall bind for April 12, 2014 - May 12, 2014. The Shop Partner commits to 1) Shipping shop items on or by April 05, 2014 2) Responsible for the return shipping of items with a return shipping label.

B. Restrictions. It is understood and agreed between the parties that the Agreement is not intended to nor does it create an employment contract between company and Shop Partner, nor does it create a joint relationship or partnership between the parties hereto. The Shop Partner is not entitled to benefits that company provides to company employees.

C. Confidentiality: The Shop Partner should not share contents of the magazine development with external entities.

D. Termination: Please be advised that if the Company believes the Shop Partner does not represent company values, or if there is a breach of contract, then the Company has the right to terminate the contract.

E. Waiver: For Consideration herein acknowledged as received, and by signing this release I hereby give Conscious Magazine and Assigns my permission to license the Content and Photos and to use the Content and Photos in any Media for any purpose (except pornographic or defamatory) which may include, among others, advertising, promotion, marketing and packaging for any product or service. I agree that the Content and Photo may be combined with other images, text, graphics, film, audio, audiovisual works; and may be cropped, altered or modified. I agree that if my work includes people that the person(s) have consented to being featured in the photograph(s). You agree to these terms with the submission of this form and payment rendered.
